I have XP Home Edition w/service pack 2 and I noticed, while exploring my Windows folder, a Program called Peernet. I tried deleting it and the Message, "Program cannot be deleted, in use by another person or program..."
comes up. Does anyone know, "What this is?" I even tried deleting it in Safemode.

A quick search through the following data bases: Trend Micro, Panda and Symantec, gave no returns for "Peernet." So the good news is that it is not likely a virus, malware or malicious application.

Googling "Peernet" returns references to Peernet Inc., and their suite of file conversion applicaitons.
Like many other software companies, Peernet offers several of their programs for free trial download, so... potentially you may have at some point downloaded a trail version of a .PDF conversion software or such, and possibly that has slipped you mind... or not...

As you indicate that the files return a message of being in use when you try to delete or remove them, then they are active in memory. This would indicate that a portion of them are loading at boot. Check out your startup file for referance to it before you attempt to remove or delete it an see if that helps.

restart your computer into safe mode (hit F8) while computer reboots and then hit safemode with networking. hit "yes" when the next window pops up. once in "safemode" uninstall normally. no problems.
